TERMS AND CONDITIONS
Boxx is operated by Boxx London Limited (company number: 09998881) a company registered in England and Wales (“Boxx”, “Boxx+”, “we” or “us”) with registered offices at Mae House, 96 George Lane, South Woodford, E18 1AD.
When you access our platform, app, website, social media, community channels and other websites that we may operate from time to time (“Site”), use the services at the Site (“Services”) or purchase our products (“Products”), these terms (“Terms”) will apply.
These Terms are divided into the following sections:
1.1. These Terms were last updated on 01 December 2022.
1.2. By using our Site and Services, you are agreeing to these Terms and representing that you are at least 18 years old.
1.3. Boxx reserves the right to amend or change these Terms at any time without notice. By using the Site and Services after any changes have been posted, you agree to any new terms.
1.4. We may suspend, restrict or terminate your account and your access to our Site and Services with or without notice if we believe that you have breached these Terms.
2. MEDICAL NOTICE & DISCLAIMER
2.1. As part of our Services, you will have access to health, fitness and wellbeing information and will be able to participate in in-person, live or on-demand classes, activities and any other products and/or services which are provided by trainers via the Site or in-person (“Class(es)”). You acknowledge and agree that such information and the Classes are designed for educational and entertainment purposes only and you will not rely on the information or Classes as a substitute or replacement for professional medical advice or treatment. You accept that the use of our Services is solely at your own risk.
2.2. You acknowledge that the Classes may be physically demanding and you understand that it is your responsibility to consult with your doctor prior to participating in the Classes to ensure that you are fit and well enough to take part, and that your participation in the Classes will not pose any risks to your health and wellbeing. By accessing our Services and taking part in any of the Classes, you warrant and represent that you are fit, healthy and able to take part in the Classes and you accept that you do so voluntarily and entirely at your own risk.
2.3. To the fullest extent permitted by law, you hereby waive, release, covenant not to claim, and discharge Boxx and any of our affiliates, directors, officers, employees, contractors, agents, insurers or suppliers from any and all liability, now or in the future, for any claims or conditions arising out of your participation in any of the Classes.
3. Boxx+ APP TERMS
3.1 Account registration
3.1.1. In order to access the Services, you’ll need to register for a Boxx+ account and have a valid subscription and/or a free trial.
3.1.2. All information that you provide when opening an account must be accurate and up to date, including your name, address, credit or debit card numbers and expiration dates, and any other payment information. You must notify us about any changes, if your payment method is cancelled or if you become aware of a potential breach of security such as the unauthorised disclosure or use of your username or password.
3.1.3. You agree that you will take all steps necessary to protect your login details and keep them secret. You agree that you will not share your details or allow someone else to use your account. If you do not keep your login details secret, or if you share your account or details with someone else, you accept full responsibility for the consequences (including being charged for additional subscriptions).
3.2. Purchasing subscriptions & free trials
3.2.1. You can purchase a subscription directly through an app provider such as Apple or Google Play Store (“App Provider”).
3.2.2. We accept payment from the payment options shown at checkout, including Visa, Mastercard and American Express. We reserve the right to check the accuracy and validity of the payment method used, including its credit status in relation to the order value. We may refuse orders depending on the result of these checks.
3.2.3. We reserve the right to change our prices at any time. Prices of subscriptions may vary depending on the type of subscription and the country where you are located.
3.2.4. If the credit card that you use to pay is denominated in a currency other than British pounds sterling (GBP), you acknowledge that you may be charged additional administrative and/or currency conversion fees by the applicable bank or service provider, for which you will be responsible.
3.2.5. From time to time, we may ourselves or through our partners offer free trials to new users. Each person is entitled to no more than one free trial.
3.2.6. If during the free trial sign up you choose a subscription and provide payment details to us, you will automatically be charged for the full price of the chosen subscription when the free trial ends, unless you cancel beforehand.
3.3. Renewals, Cancellations & Refunds
3.3.1. Where you have signed up for a free trial, you can cancel any time before the end of the free trial period and you will not be charged. Please note that you may lose any right of withdrawal that you have if you have used the Services during the Cancellation Period or the free trial.
3.3.2. Following expiry of the Cancellation Period or any free trial, subscriptions are non-refundable and there is no right to refunds or credits unless required by law.
3.3.3. Your subscription will automatically renew unless you cancel. You may cancel your subscription at any time. Cancelling your subscription will take effect at the end of the current subscription period and no future payments will be taken. You will not receive a refund for any unused portion of your subscription.
3.3.4. Once you have cancelled, unless otherwise stated, you can continue using the Services until the end of your current subscription period.
3.3.5. How to cancel
220.127.116.11. Where you have subscribed through an App Provider, you must cancel directly with them.
18.104.22.168. Please ensure that you cancel at least 72 hours before the end of the term to avoid any charges being taken.
3.3.6. Please allow no less than 5 to 7 days for the refund to be processed and sent back to you via the payment method used to subscribe.
3.3.7. If we suspend or terminate your subscription pursuant to these Terms, you may lose the remainder of any subscription and we will not refund you for the remaining term.
3.4. Subscriptions via third parties
3.4.1. Where you obtain your subscription via an App Provider, that third party may be responsible for certain elements of your subscription, such as payment, renewal and cancellation.
3.4.2. Where you have signed up via an App Provider, their separate terms and conditions will apply.
3.4.3. Please note that where you have signed up via an App Provider, Boxx is not able to cancel any subscriptions or free trials on your behalf, nor are we able to issue refunds to you.
4. Boxx STORE TERMS & CONDITIONS
4.1. The Boxx store is hosted on WooCommerce. They provide us with the online e-commerce platform that allows us to sell our products to you.
4.2. Placing orders
4.2.1. Your order constitutes an offer to us to buy the products specified in your order. We will send you an order acknowledgement email as soon as you place your order, and you will receive an order confirmation email detailing the products you have ordered. These emails do not constitute acceptance of your order.
4.2.2. Order acceptance and the completion of the contract between us will take place on the despatch to you of the products ordered.
4.2.3. For most products sent directly from our warehouse, you will be charged when your order is placed.
4.2.4. We reserve the right (in our sole discretion) to reject your order for any reason including:

126.96.36.199. our inability to obtain authorisation for your payment;
188.8.131.52. based on our internal checks, your order is identified as a suspicious or unusual order (for example, purchase for resale) or an order that might be fraudulent; or

Should we have taken payment prior to rejection of your order then we will refund you, but please note that it can take up to 10 days for the bank to transfer the funds to you.
4.3. Pricing and payment
4.3.1. The price of products includes VAT but excludes delivery costs which are added to the total cost of the order before you complete your purchase, unless otherwise indicated.
4.3.2. We accept payment from the payment options shown at checkout, including from Visa, MasterCard, American Express and Paypal. We reserve the right to check the accuracy and validity of the payment method used including in relation to its credit status for the order value. We may refuse orders depending on the result of these checks.
4.3.3. We reserve the right to change our prices at any time. Prices may vary depending on the country where you are located.
4.3.5. If the credit card that you use to pay is denominated in a currency other than British pounds sterling (GBP), you acknowledge that you may be charged additional administrative and/or currency conversion fees by the applicable bank or service provider, for which you will be responsible.
4.3.4. Products that are shipped to countries outside of the UK may be subject to taxes, brokerage fees, customs duties and import fees levied by the destination country, which are your responsibility to pay.
4.4.1. The availability of products to your delivery address and the associated delivery cost will be notified to you at the time you make your purchase.
4.4.2. If you receive a notification during checkout that we are unable to deliver to your address with our standard delivery options, please contact us directly by emailing us at firstname.lastname@example.org or sending us a message through the Chat function on the Boxx website to discuss whether we are able to make alternative delivery arrangements for you.
4.4.3. We aim to deliver all orders to addresses in the UK in 5-7 working days, however, delivery can take up to 10 working days.
4.5. Cancellations, returns and refunds
4.5.1. You have the right to change your mind within 14 days of receipt of your products and request a refund. To exercise this right, you must, without undue delay and, in any event, no later than 14 days after your cancellation notice, return the products to us at your own cost.
4.5.2. Any products must be returned in accordance with our instructions, unused, unworn, in its original condition and include all, tags, parts and accessories that were included within the original packaging. We cannot accept any items for return that are not in their original packaging. Products are returned at your own cost and we are not responsible for packages lost in transit without proof of tracking.
4.5.3. Due to hygiene reasons, Punch Pods (trackers) may not be returned or exchanged if they have been worn or used.
4.5.4. If a product is returned in damaged condition, for example, if it is soiled, has missing parts or otherwise has signs of abuse, we reserve the right to refuse a refund or to charge additional restocking fees, at our sole discretion.
4.5.4. Boxx will not be responsible for any issues with products arising from improper or unreasonable use or maintenance, accidents, excess moisture, insects, improper packing, lightning, power surges, or unauthorised tampering, alteration or modification.
4.5.6. Where accepted, we will refund you the price you paid for the products by the payment method originally used. Delivery costs will not be refunded.
4.5.7. We will process any refunds due to you as soon as possible using the same payment method used for the purchase. If you are exercising your right to change your mind then your refund will be made within 14 days from the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us.
4.6. Product warranties and disclaimers
4.6.1. Unless specific warranties are expressly given when you purchase products from our Site or studio, we do not give any warranties or guarantees in respect of such products over and above those implied by applicable law (these include, for example, that the products are of satisfactory quality and reasonably fit for all the purposes for which products of that kind are commonly supplied).
4.6.2. We only supply the products for domestic and private use. If you are purchasing products from us as a business: to the fullest extent permissible pursuant to applicable law, we disclaim all warranties, express or implied, including, but not limited to, warranties of satisfactory quality, fitness for a particular purpose and non-infringement.
5. BOXX STUDIO TERMS
5.1. STUDIO MEMBERSHIP CONTRACT PERIOD
All memberships are on a monthly (payment month by month) basis. Your initial period of your membership will be 3 months. You shall not be entitled to bring this contract to an end during the initial period of your membership. At the end of the initial period of your membership, you can choose: (i) to continue with your membership on a rolling monthly basis on the prevailing membership fee rate that applies from month to month; or (ii) cancel your contract in accordance with Section 24 below. If you elect to pay for your membership on a “monthly” basis then your membership fee each month will be at our then prevailing membership fee rates.
5.2. BOOKING STUDIO CLASSES
The cost of each Class will be shown clearly on the online timetable. All Classes included in your chosen membership type (see clauses 11 and 12 below) will have no cost attributed to them. Bookings for Classes can be made up to 14 days in advance. Bookings can be made: (i) via the online timetable on our website; or (ii) in person at our premises. It is your responsibility to ensure that you have made your booking and (where relevant) submitted payment correctly.
5.3. CHANGING OR CANCELLING YOUR STUDIO BOOKINGS AND NO SHOWS.
You may change or cancel your booking for a Class prior to the class start time. Due to limited spots available, we ask that you cancel a minimum of 8 hours before the class start time to allow others to book in. If you fail to attend a class without cancelling or notifying us prior to the start of the class you will be charged £10 (if a member) or lose a class credit (if a non-member). You may change or cancel a Class booking: (i) online via our website; or (ii) via the MindBody App (iii) by emailing us at email@example.com.
5.4 IF WE CANCEL YOUR STUDIO BOOKING
In the event that we cancel a Class that you have booked, we will make reasonable efforts to contact you by email or telephone to let you know. We will offer you the choice between: i. having your Class Packs re-credited with the price paid for the cancelled Class (and you can use any such amounts re-credited to your Class Packs in accordance with the provisions of these Terms); or ii. being transferred to another equivalent Class at an alternative date and time.
5.5. STUDIO CLASS BOOKING CONFIRMATION
Your booking is not complete until you have received a booking confirmation from us. Please make sure you receive a booking confirmation before you attend the Class. If you do not receive confirmation please contact us by e-mail (studio email address can be found by visiting the contact us page), or in person through the receptionist on duty. Class prices are subject to change at any time before we accept your booking. All Classes are offered by us subject to availability. We do not guarantee availability at any time.
5.6. STUDIO LATENESS POLICY
We operate a policy which prevents you taking part in a Class if you are more than 5 minutes late for the relevant Class (in such situations you will be deemed to be “late”). This policy is in place to prevent injury and to be mindful of the teacher and other participants in the Class.
5.7. STUDIO LIABILITY
We are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our negligence, but we are not responsible for any loss or damage that is not foreseeable, or for loss or damage which is your own fault or which is attributed to a third party unconnected with the provision of our services. Loss or damage is foreseeable if it is an obvious consequence of our breach or if it was contemplated by you and us at the time we accepted your order.
We do not in any way exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation or for any breach of any terms implied by law
5.8. STUDIO MEMBERSHIP FEE CHANGES
We reserve the right to review and change membership fees and Class fees periodically. Once your initial contract period has come to an end, if you choose to continue with your membership (i.e. by continuing on a rolling monthly basis), the membership fee will be charged at the rate prevailing per month for monthly rolling contracts.
5.9. WHAT’S INCLUDED IN A BOXX MONTHLY STUDIO MEMBERSHIP
Unlimited Classes per month are included in our monthly membership. Workshops and other events are excluded.
5.10. STUDIO PROMOTIONAL PURCHASES
Promotional purchases are only valid towards applicable genres outlined at the point of purchase. Promotional purchases cannot be exchanged for any other service or product that we offer. Promotional purchases are non-refundable.
5.11. STUDIO PROMOTIONAL OFFERS
From time to time we may run various promotions, prize draws and other offers (“Promotions”). We may implement separate terms and conditions in respect of any such Promotion, and will advise you accordingly where this is the case. However, notwithstanding this:
5.11.1 We reserve the right to end any promotion without warning at any time.
5.11.2.We also reserve the right to withdraw your right to any Promotion if we consider, in our absolute discretion, that you have abused, misused or gained an unfair advantage in respect of the Promotion. Misuse includes, but is not limited to, the creation of multiple customer accounts and self-referral.
5.11.3 Additionally, we reserve the right to not fulfil any future bookings made by any customer found to have abused, misused or gained an unfair advantage in respect of the Promotion. Any prizes offered by us in connection with a Promotion must be claimed within 21 days of announcement of the winners. We have 45 days to issue any such prize. We reserve the right to substitute any prize or promotion for the equivalent value in Classes.
5.12. STUDIO PAYMENT MONTHLY
Your initial contract period membership fee is to be paid in monthly instalments. Monthly membership fees can be paid by credit/debit card or direct debit via our online checkout process. Your first monthly membership fee payment will be processed on the date you sign up for your membership. Your subsequent monthly membership fee payments will then be processed via your original payment method on the same day in each month that corresponds to the day of the month on which you signed up for membership (or the nearest equivalent day in shorter months (where relevant)). This also applies where you have elected to remain on a rolling monthly contract at the end of your fixed term contract period.
5.13. NON-PAYMENT OF STUDIO MEMBERSHIP FEES
If your membership fees become overdue, we reserve the right to refuse you entry into our Classes and/or other Boxx events until the overdue sums are paid in full. Should you default on payments to us (after we have tried to collect payment twice), you will cease to be a member and will become a “Drop In” customer until such time as the relevant month’s payment is paid. We reserve the right to notify any default to a credit reference agency or other third party as part of our efforts to obtain payment from you.
5.14. CANCELLATION OF STUDIO MEMBERSHIP
If you are a “membership” customer, in order to terminate your membership, you must give us a minimum of 30 days’ notice via email to firstname.lastname@example.org. If you wish the membership to terminate at the conclusion of your initial contract period set out in section 2, you must notify us at least 30 days before the end of this initial contract period to ensure that your membership ends and that no further payments are taken.
Please note if you want to freeze your membership, you are only able to do so for a period of one month only. Members must request a Membership Freeze in writing via email at email@example.com It is not possible to Freeze a membership in the first three month term.
5.15. STUDIO WELCOME OFFERS, PAY AS YOU GO PACKAGES CONTRACT PERIOD
You are bound by these Terms from the date on which you make a payment to attend a Class until such time as you use all credits purchased or offer/package expires.
5.16. PAYMENT FOR STUDIO WELCOME OFFERS AND PAY AS YOU GO PACKAGES
Payment for your Classes may be made by credit card or debit card. Payments can be made: (i) online; or (ii) in person at our premises. Once a Class Pack has been purchased it cannot be refunded, even if you do not use the classes.
5.17. STUDIO WELCOME OFFERS AND PAY AS YOU GO PACKAGE EXPIRY
Boxx single class pack expire 30 days from date of purchase. Boxx 3 Class Packs expire one month from the day of purchase. 5 Class Packs expire two months from the day of purchase. Boxx 10 Class Packs expire three months from the day of purchase. Following the Expiration Date, any unused classes will no longer be valid. Class Packs money cannot be transferred to any third party or to any other Boxx account and cannot be exchanged for any other service or product that we offer.
6.. PROMOTIONAL OFFERS AND DISCOUNTS
6.1. Boxx may offer promotional offers and special discounts from time to time, which will be subject to additional terms and conditions to be read in conjunction with these Terms.
6.2. Unless otherwise expressly stated in the terms and conditions for a particular promotion, promotions cannot be combined and cannot be used in conjunction with any other offer/discount.
7.1.1. Subject to your compliance with these Terms and for so long as you are permitted by us to access the Site and use the Services, Boxx grants you a limited, non-transferable, non-sublicensable, non-exclusive, revocable licence to access the Site and use the Services for your own personal, non-commercial purposes. This licence includes the right to download the Boxx app and view any text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Site and Services.
7.1.2. Except as expressly permitted by these Terms, you will not copy, reproduce, modify, redistribute, sell, transfer, create derivative works from, decompile, reverse engineer, or disassemble the Site, Services or any content or materials within them, nor will you take any measures to interfere with or damage the Site or Services.
7.2. Intellectual property rights
You acknowledge and agree that all copyright, trademarks and all other intellectual property rights in the Products, Site and Services and all material or content supplied as part of the Products, Site and Services will remain at all times vested in us or our licensors. You are permitted to use this material only as expressly authorised by us in accordance with these Terms. All rights not expressly granted by Boxx in these Terms are reserved.
7.3.1. We cannot guarantee that you will have uninterrupted access to the Site and our Services at all times. While we will make all effort to avoid it, access may be disrupted from time to time due to necessary maintenance, technical issues, network and system overloads or events outside of our control.
7.3.2. The inclusion of any products or services on Site at a particular time does not imply or warrant that these products or services will be available at any time. We reserve the right to discontinue any Products or Services at any time.
7.3.3. You may be required to download and install updates to the Boxx+ App to maintain access to our Services. Failure to do so may result in certain features and services being unavailable or adversely affected.
We try to be as accurate as possible on the Site about the Services and Products including pricing, availability of size, colour and type, quantity of stock available and any descriptions. However, whilst we try our best to ensure that product information on our website is correct, it is possible that the Site may contain errors or inaccuracies. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change and update information at any time without prior notice.
In addition to other prohibitions as set forth in these Terms, you are prohibited from using the Products, Services or Site: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way to affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Site, Services or any related website, other websites, or the Internet.
7.6. External links
We may provide links to other websites from time to time. These links are provided for your convenience. We do not endorse or take responsibility for the content of those websites, are not responsible for the availability of those websites and will not be liable in any way for any loss or damage which you may suffer by using those websites. If you decide to access linked websites you do so at your own risk.
7.7. User content & social media
7.7.1. Any content or materials that you provide or make available through the Site or any social media channels of Boxx (“User Content”), whether publicly posted or privately transmitted, is your sole responsibility. You represent that all User Content submitted is accurate, complete, up-to-date, and in compliance with these Terms and with all applicable laws, rules and regulations.
7.7.2. You grant Boxx a worldwide, perpetual, irrevocable, non-exclusive, sublicensable, transferable royalty-free licence and right to use, copy, transmit, distribute, publicly perform and display (through all media now known or later created), edit, modify, and make derivative works from the User Content (including, without limitation, translations) for any purpose whatsoever, commercial or otherwise, without compensation to you. In addition, you waive any moral rights (or equivalent rights) or rights of privacy or publicity in your User Content. You represent that you own (or have all rights necessary to grant Boxx the rights to use) all User Content, and that Boxx will not need to obtain licences from any third party or pay royalties to any third party in order to use such User Content.
7.7.3. If you make suggestions to Boxx about improving or adding new features or products to the Products, Site or Services or you otherwise provide feedback, products or Services reviews or testimonials, to the extent any licence is required, you hereby grant to Boxx a worldwide, perpetual, irrevocable, non-exclusive, sublicensable, transferable royalty-free license and right to use, copy, modify, create derivative works based upon and otherwise use your suggestions, feedback, reviews and testimonials for any purpose (including for marketing), without any notice, compensation or other obligation to you.
7.7.4. We have no obligation to monitor, review, filter, moderate or remove any User Content from the Site. Nevertheless, we reserve the right to take any such actions in our sole discretion.
8. LIABILITIES & INDEMNITIES
8.1. The Site, Products and Services are provided on an “as is” and “as available” basis without any representation or endorsement made and we make no warranties of any kind, whether express or implied, in relation to the Products, Site or Services, including but not limited to, implied warranties of non-infringement, compatibility, security, accuracy, conditions of completeness, or any implied warranty arising from course of dealing or usage or trade.
8.2. To the fullest extent permitted by law, we exclude all conditions, warranties, representations or other terms, which may apply to the Services, Site or Products, whether express or implied. This does not affect your statutory rights as a consumer.
8.3. We will not be liable to you for any lack of performance, or the unavailability or failure of any of our Services or Site, or for any failure by us to comply with these Terms, where such lack, unavailability or failure arises from any cause reasonably beyond our control.
8.4. We will not be liable for any loss or damage caused by a virus, distributed denial-of-services attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Services or to your downloading of any content from it, or on any website linked to it.
8.5. We will not be liable for any damage that may be caused to any device on which you access or use our Services that is caused in any way by our Services, unless that damage is directly caused by our failure to exercise reasonable skill and care in the provision of the Services.
8.6. We will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations or otherwise out of or in connection with these Terms for:
8.6.1. any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings);
8.6.2. any loss of goodwill or reputation; or
8.6.3. any special or indirect losses, suffered or incurred by that party arising out of or in connection with the provisions of any matter under these Terms.
8.7. Nothing in these Terms limits or excludes our liability for:
8.7.1. death or personal injury by our negligence;
8.7.2. fraudulent misrepresentation; or
8.7.3. any other liability that cannot be excluded by law.
8.8. Subject to the above, any liability we do have for losses you suffer is strictly limited to the purchase price and the losses that were foreseeable. Loss or damage is only foreseeable where they could be contemplated by you and us at the time of you agreeing to these Terms.
8.9. To the fullest extent permitted by law, you agree to indemnify and hold Boxx harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) arising out of:
8.9.1. your breach of these Terms;
8.9.2. any allegation that any materials that you submit to us or post on our Services infringe or otherwise violate the intellectual property rights of a third party; and
8.9.3. your access or use of our Services.
